Terms of Service

These Terms of Service govern your access to and use of Provero’s website, application, API, checks, data validation services and related services.

Provero is a trading name of Horizon Landings Limited. References to “Provero”, “we”, “us” or “our” mean Horizon Landings Limited trading as Provero. References to “Customer”, “you” or “your” mean the business, organisation, individual or other person accessing or using the Services.

By creating an account, accessing the platform, using the API, running checks, purchasing credit or otherwise using the Services, you agree to these Terms.

If you are using the Services on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to these Terms.

1. Definitions

In these Terms:

  • “Account” means your Provero user account.
  • “Balance” means prepaid monetary value applied to your Account and used to pay for checks and other chargeable Services.
  • “Check” means any validation, verification, enrichment, fraud, risk, identity, age, KYC, address, phone, email, lead scoring, trusted outcome score or similar service made available through Provero.
  • “Customer Data” means data submitted, uploaded, transmitted or otherwise provided to Provero by or on behalf of the Customer.
  • “Documentation” means the API documentation, technical instructions, usage guidance, platform documentation and other materials provided by Provero from time to time.
  • “Free Checks” means the free promotional monetary balance made available to eligible new Accounts.
  • “Services” means Provero’s website, application, API, checks, data validation services, data verification services, enrichment services, fraud signals, risk signals, suitability signals, scoring outputs, documentation and related services.

2. Who may use Provero

Provero is intended for business use.

You may use Provero if you want to validate, verify, enrich, assess or score data for a lawful business purpose.

Personal email addresses may be used to create an Account, but you are still responsible for ensuring that your use of the Services is for a lawful business purpose and complies with these Terms.

You are responsible for keeping your Account login details, API keys and other access credentials secure. You must not share access credentials with anyone who is not authorised to use the Account.

You are responsible for all activity carried out through your Account.

3. Description of the Services

Provero provides data validation, verification, enrichment, fraud signal, risk signal and suitability signal services.

The Services may be used in workflows including, but not limited to, marketing, lead validation, onboarding, fraud screening, KYC pre-screening, customer data quality, suppression, enrichment and operational decision-support.

Provero outputs are decision-support information only. They are not a guarantee that a person, business, record, address, email address, phone number, device, IP address or other data point is genuine, safe, suitable, deliverable, reachable, compliant, fraudulent or non-fraudulent.

The Customer remains responsible for how Provero outputs are interpreted, combined with other information and used.

4. Free Checks

New Accounts may receive Free Checks in the form of a promotional monetary balance equivalent to £5 excluding VAT.

Different Checks have different prices. The number of Checks available using the Free Checks balance will depend on the Checks selected by the user and the applicable price for each Check at the time the Check is run.

The user may choose how to use the Free Checks balance against eligible Checks available in their Account.

Some Checks may require additional information, approval, setup, third-party access, configuration or paid usage before they can be used.

Free Checks expire 30 days after Account creation.

Free Checks have no cash value, are non-transferable, non-refundable and cannot be exchanged for money or paid credit.

A business, group or organisation may receive up to three Free Checks balances in total unless Provero agrees otherwise.

Provero may withdraw, cancel or refuse Free Checks where it reasonably believes multiple Accounts have been created to avoid limits, misuse the platform, obtain additional free usage or otherwise breach these Terms.

5. Paid usage, top-ups and balances

Unless otherwise agreed in writing, Provero operates on a prepaid basis.

You must maintain a sufficient Balance to use paid Checks and chargeable Services.

When you run a Check, the applicable charge will be deducted from your Balance.

The minimum top-up amount is £50 excluding VAT, unless Provero agrees otherwise or makes a different top-up option available in the platform.

Balances are not bank deposits, stored value products or regulated payment accounts. They may only be used to purchase Services from Provero.

Paid Balances expire one year after purchase unless otherwise agreed in writing.

Unused Balances are non-refundable except where required by law or expressly agreed by Provero.

Enterprise, invoice-based or custom commercial arrangements may be subject to separate written terms. If separate written terms conflict with these Terms, the separate written terms will apply to the extent of the conflict.

Where a Customer initiates a chargeback or payment dispute in relation to a top-up or purchase, Provero reserves the right to suspend or terminate the Account pending resolution of the dispute. Where a chargeback is upheld but Checks have already been processed and supplier costs incurred, the Customer remains liable for the value of those Checks and Provero reserves the right to pursue recovery of those costs.

6. Pricing and VAT

Prices are shown in GBP and exclude VAT unless stated otherwise.

Provero may change pricing at any time, including where supplier costs, data costs, network costs, API costs, operational costs or product functionality change.

The price charged for a Check will be the applicable price at the time the Check is submitted or processed.

Different Checks may have different prices. Some Checks may involve multiple components or third-party costs.

Provero may deduct Balance for Checks submitted through the platform, including where a Check returns no match, partial information, unavailable results, supplier errors, failed validation outcomes or other non-positive results, where the Check has incurred processing or supplier costs.

Duplicate Checks are chargeable. If the Customer submits the same record, data point or request more than once, each submission may be treated as a separate live Check and charged accordingly.

Batch uploads and API Checks follow the same billing rules unless Provero agrees otherwise in writing.

7. Customer Data and lawful basis

The Customer is responsible for all Customer Data submitted to Provero.

You must ensure that you have all necessary rights, permissions, notices, consents, lawful bases and authorisations required to submit Customer Data to Provero and to use the Services for your intended purpose.

You must ensure that Customer Data is accurate, relevant and lawfully obtained.

You must not submit Customer Data to Provero where doing so would breach applicable law, regulation, contractual obligation, third-party right or these Terms.

You must not submit special category personal data, criminal offence data or other sensitive data unless expressly agreed by Provero in writing.

You must not submit children’s data to Provero unless the relevant Check expressly supports that use case and Provero has agreed to it in writing.

The Customer remains responsible for determining whether its use of the Services is appropriate for its intended purpose and compliant with all applicable laws, regulations and industry rules.

8. Demo age verification, KYC and SIM swap checks

Where you use a Provero demo, sandbox, “test this” page or similar non-production feature to run an age verification, KYC, identity, SIM swap or similar verification check, you confirm that you are submitting your own information or information you are lawfully authorised to use for that purpose.

By submitting the check, you explicitly request and authorise Provero to process the information provided for the purpose of running the selected demo check and returning a test result.

Demo checks are provided for evaluation and demonstration only. They are not intended to be used for live onboarding, regulated KYC or AML compliance, legal age-restricted sales, fraud decisions, credit decisions, employment screening, or any other production or legally significant decision.

You must not submit information relating to another person unless you have all required rights, permissions, notices, lawful bases and authorisations to do so.

9. Restricted checks and live use

Certain Checks, including age verification, KYC, identity, SIM swap, telecoms risk and other higher-risk or regulated Checks, may require Provero’s prior approval before they are enabled for live, API or production use.

Before enabling access to restricted Checks, Provero may require you to provide details of your intended use case, customer journey, lawful basis, privacy notices, consent wording where applicable, permission wording, data retention approach, decisioning process and any other compliance information reasonably required by Provero or its suppliers.

You must not use restricted Checks on consumers, end users or other individuals unless you have all required lawful bases, notices, consents, permissions, authorisations and safeguards in place for that use case.

Where a Check requires explicit consent, permission or specific customer-facing wording, you must ensure that such wording is clear, specific, informed, unambiguous and presented before the relevant data is submitted or checked.

Provero may refuse, restrict, suspend or withdraw access to restricted Checks where Provero reasonably believes that your use case, customer-facing wording, lawful basis, consent process, notices, safeguards or compliance arrangements are inadequate, incomplete, misleading, unlawful or create legal, regulatory, supplier, security, reputational or commercial risk.

10. Data protection

Your use of Provero is also subject to our Privacy Policy.

Where Provero processes personal data on behalf of the Customer to provide the Services, Provero generally acts as processor and the Customer acts as controller.

Provero may act as controller for account data, billing data, security data, service usage data, fraud-prevention data, operational metadata, analytics, support records and other data required to operate, secure, improve and administer the Services, as described in the Privacy Policy and any applicable Data Processing Agreement.

The Customer is responsible for selecting retention settings appropriate to its legal basis, use case and compliance obligations where retention settings are configurable.

Provero may use account information, service usage information, technical and operational metadata, customer feedback, and aggregated or anonymised information to operate, secure, monitor, develop and improve the Services.

Provero will not use identifiable Customer Data submitted for Checks to train general-purpose artificial intelligence models or for purposes unrelated to providing, securing, supporting and improving the Services, unless expressly agreed with the Customer.

Provero may use third-party suppliers, providers and sub-processors to provide the Services. The Customer agrees that Provero may use such suppliers, providers and sub-processors where required to deliver the Services.

Provero will not transfer Customer Data outside the UK or EEA unless appropriate safeguards are in place or the transfer is otherwise permitted under applicable data protection law.

If a Data Processing Agreement applies to your use of the Services, that agreement forms part of these Terms.

11. API use and documentation

Use of the API must comply with the Documentation.

You must not use the API in a way that exceeds rate limits, bypasses restrictions, disrupts the Services, compromises security or causes excessive load.

You are responsible for securely storing and managing API keys and access credentials.

Provero may change, update, replace, limit or withdraw API endpoints, methods, parameters, fields, responses, rate limits or other technical features from time to time.

Provero will use reasonable efforts to avoid unnecessary disruption but does not guarantee that API functionality will remain unchanged.

12. Agencies, client use and resale

Agencies, lead generators, platforms and other intermediaries may use Provero for their own clients, provided that they remain responsible for their own and their clients’ compliance with these Terms and applicable law.

The Customer is responsible for ensuring that any client, end customer or third party on whose behalf the Services are used has the necessary lawful basis, rights, notices, permissions and authorisations.

The Customer may use Provero outputs to determine whether to accept, reject, suppress, route, enrich, score or deliver a lead, record or transaction to its own systems or agreed client endpoints.

The Customer must not resell, repackage, publish, disclose, expose, sublicense or make available Provero outputs as a standalone data, validation, enrichment, scoring, fraud prevention, identity verification or similar product or service without Provero’s prior written consent.

The Customer must not resell, repackage, expose or provide direct access to restricted third-party services, datasets, APIs, lookups or supplier functionality made available through Provero, including but not limited to PAF web services, KYC telephone lookups or other services requiring a customer-specific account, licence, approval or supplier permission.

The Customer must not resell access to Provero, the API, the Account, the Balance or Free Checks without Provero’s prior written consent.

Any approved onward use may be subject to additional supplier terms, usage restrictions, pricing, approvals and pass-through obligations.

13. Customer responsibilities

You are responsible for:

  • (a) your use of the Services;
  • (b) all Customer Data submitted to Provero;
  • (c) ensuring you have a lawful basis to submit and process Customer Data;
  • (d) providing all required privacy notices, consents and other information to individuals where applicable;
  • (e) configuring the Services appropriately for your use case;
  • (f) reviewing and interpreting Provero outputs;
  • (g) making your own accept, reject, challenge, suppress, onboard, compliance, marketing, fraud, risk or other operational decisions;
  • (h) ensuring that your use of the Services complies with applicable law and regulation;
  • (i) maintaining the security of your Account, systems, API keys and credentials; and
  • (j) ensuring that your employees, contractors, clients and authorised users comply with these Terms.

14. Prohibited use

You must not:

  • (a) use the Services unlawfully;
  • (b) submit data that you do not have the right or lawful basis to submit;
  • (c) submit special category personal data, criminal offence data or children’s data unless expressly permitted under these Terms or agreed by Provero in writing;
  • (d) use the Services as the sole basis for decisions that materially affect individuals without appropriate lawful basis, safeguards, human review and compliance processes;
  • (e) scrape, copy, harvest, benchmark, monitor, test or analyse the Services for competitive purposes;
  • (f) reverse engineer, decompile, disassemble or attempt to discover the source code, underlying logic, rules, models, datasets, scoring methods or systems used by Provero;
  • (g) overload, disrupt, interfere with or compromise the Services;
  • (h) attempt to bypass technical limits, rate limits, billing controls, authentication, security measures or usage restrictions;
  • (i) create multiple Accounts to obtain additional Free Checks or avoid usage limits;
  • (j) resell restricted third-party services, supplier data or direct API access without permission;
  • (k) use the Services to build a competing product or service;
  • (l) introduce malware, malicious code or harmful data into the Services;
  • (m) use the Services in a way that damages Provero’s suppliers, providers, networks, systems, reputation or commercial relationships; or
  • (n) permit any third party to do any of the above.

15. Accuracy of Results

Provero provides validation, verification, enrichment, fraud, risk, identity, age, KYC, address, phone, email, lead scoring, trusted outcome score and similar outputs based on the data sources, APIs, systems, providers, operators, networks, databases, rules and information available at the time the relevant Check is carried out.

Provero will use reasonable skill and care in providing the Services. However, no validation, verification, enrichment, fraud detection, risk scoring or identity-related service can guarantee that every result will be complete, current, error-free or 100% accurate.

Provero does not warrant, represent or guarantee that any result, score, status, classification, recommendation or output will achieve any specific outcome, identify every risk, prevent fraud, confirm identity, ensure compliance, improve deliverability, prevent loss, or be suitable for any particular purpose.

The Customer is responsible for reviewing, interpreting and deciding how to use Provero outputs.

Provero outputs are provided as decision-support information only and should not be used as the sole basis for decisions that materially affect individuals, including decisions to accept, reject, challenge, suppress, onboard or deny access to a service, unless the Customer has appropriate lawful basis, safeguards, human review and compliance processes in place.

16. Availability and third-party services

Provero will use reasonable skill and care in providing the Services but does not guarantee that the Services will be uninterrupted, error-free or available at all times.

The Services may depend on third-party APIs, data sources, providers, operators, networks, databases, systems and platforms.

Provero is not responsible for failures, delays, outages, changes, inaccuracies, restrictions, price changes or unavailability caused by third-party suppliers, providers, APIs, data sources, networks, operators, databases, platforms or systems.

Provero may modify, suspend, remove, replace or discontinue any Check, feature, supplier, data source, API endpoint or part of the Services where necessary for operational, legal, supplier, security, technical or commercial reasons.

Provero shall not be liable for any failure, disruption or delay in performance resulting from circumstances outside its reasonable control, including but not limited to utility outages, national emergencies, terrorist activity, fire, flood, extreme weather conditions or industrial action.

17. Intellectual property

Provero and its licensors own all rights, title and interest in the Services, platform, API, Documentation, software, systems, workflows, designs, interfaces, databases, scoring methods, rules, models, processes, know-how, trademarks and other intellectual property used to provide the Services.

Except for the limited right to use the Services in accordance with these Terms, no rights are transferred to the Customer.

The Customer retains ownership of Customer Data.

The Customer grants Provero the rights required to process Customer Data and provide the Services.

You must not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from the Services or Documentation except as expressly permitted by these Terms.

18. Confidentiality

Each party may receive confidential information from the other party.

Confidential information means information that is marked confidential or that should reasonably be understood to be confidential given its nature and the circumstances of disclosure.

Each party must use the other party’s confidential information only for the purposes of performing or receiving the Services and must take reasonable steps to protect it from unauthorised access, use or disclosure.

Confidential information does not include information that is publicly available, already known without restriction, independently developed without use of the confidential information, or lawfully received from a third party.

A party may disclose confidential information where required by law, regulation, court order or a competent authority, provided that it gives the other party reasonable notice where legally permitted.

19. Suspension and termination

Provero may suspend or terminate your Account, access to the Services, API access, Free Checks or Balance where Provero reasonably believes that:

  • (a) you have breached these Terms;
  • (b) you have failed to pay amounts due;
  • (c) your use of the Services creates legal, regulatory, supplier, security, technical, operational or reputational risk;
  • (d) you have submitted unlawful, unauthorised or inappropriate data;
  • (e) you have misused Free Checks or created multiple Accounts to avoid limits;
  • (f) you have breached API limits or technical restrictions;
  • (g) a supplier, provider, regulator, authority or legal requirement requires or reasonably justifies suspension; or
  • (h) suspension is necessary to protect the Services, Provero, customers, suppliers, individuals or third parties.

You may stop using the Services at any time.

Termination or suspension does not affect any rights, obligations or liabilities that have accrued before termination or suspension.

On termination, your right to use the Services will cease. Any unused Balance will remain non-refundable unless required by law or agreed by Provero in writing.

20. Indemnity

The Customer shall indemnify and keep indemnified Provero against all losses, damages, costs, claims, expenses and liabilities arising out of or in connection with:

  • (a) Customer Data submitted to Provero;
  • (b) the Customer’s failure to maintain a lawful basis, provide required notices, obtain required permissions or comply with applicable law;
  • (c) the Customer’s use, interpretation or reliance on Provero outputs;
  • (d) decisions, actions or omissions made by the Customer or any third party using or based on the Services;
  • (e) use of the Services on behalf of the Customer’s clients or end customers;
  • (f) breach of these Terms by the Customer or its authorised users;
  • (g) misuse of the Services, API, Documentation, Account, Free Checks or Balance; or
  • (h) any claim that Customer Data or the Customer’s use of the Services infringes the rights of any person or breaches applicable law.

21. Limitation of Liability

Provero will use reasonable skill and care in providing the Services.

Subject to the clauses below, Provero’s total aggregate liability arising out of or in connection with the Services, whether in contract, tort, negligence, breach of statutory duty or otherwise, shall not exceed the fees actually paid by the Customer for the Services giving rise to the claim in the six (6) months immediately preceding the event giving rise to the claim.

For free, trial, promotional or unpaid use of the Services, including Free Checks, Provero shall have no liability to the maximum extent permitted by law.

Provero shall not be liable for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of opportunity, loss of contracts, loss of use, wasted expenditure, loss or corruption of data, or any indirect, special, incidental or consequential loss or damage, whether or not such loss was foreseeable or Provero had been advised of the possibility of such loss.

Provero shall not be liable for any loss, damage, cost or liability arising from:

  • (a) inaccurate, incomplete, outdated, unlawful or unavailable data supplied by the Customer or any third party;
  • (b) the Customer’s use, interpretation or reliance on any result, score, status, classification, recommendation or output;
  • (c) any decision, action or omission made by the Customer or any third party using or based on the Services;
  • (d) any failure, delay, outage, change in methodology, unavailability or inaccuracy of any third-party API, data source, provider, network, operator, database, system or platform used in connection with the Services;
  • (e) any use of the Services outside the Documentation, API limits, permitted use, configuration settings or these Terms; or
  • (f) any failure by the Customer to maintain a lawful basis, provide appropriate notices, obtain required permissions, conduct appropriate reviews or comply with applicable laws.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, or any other liability which cannot lawfully be excluded or limited.

22. Changes to the Services and Terms

Provero may update the Services, Documentation, pricing, Checks, suppliers, data sources, platform functionality and these Terms from time to time.

Where changes are material, Provero will take reasonable steps to notify Customers, which may include notice by email, in-app notification or publication on the website.

Your continued use of the Services after updated Terms take effect means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Services.

23. Notices and communications

Provero may send notices and communications by email, in-app message, account notification or by posting information on the website.

You are responsible for keeping your Account contact details up to date.

Notices sent by email will be deemed received when sent, unless the sender receives a delivery failure notification.

24. Assignment

You must not assign, transfer or subcontract your rights or obligations under these Terms without Provero’s prior written consent.

Provero may assign, transfer or subcontract its rights and obligations under these Terms as part of a business reorganisation, sale, merger, acquisition, group restructuring or transfer of assets, or where necessary to provide the Services.

25. Severance

If any part of these Terms is found to be invalid, unlawful or unenforceable, that part will be treated as deleted to the minimum extent necessary. The remaining parts will continue in full force and effect.

26. No waiver

If either party fails to enforce any right or provision under these Terms, that will not be treated as a waiver of that right or provision.

27. Entire agreement

These Terms, together with the Privacy Policy, any applicable Data Processing Agreement, Documentation and any agreed written commercial terms, form the entire agreement between the parties in relation to the Services.

28. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
